Adv. Efi Ohana specializes in commercial, taxation, contract and corporate laws. Efi provides ongoing legal support to companies and individuals, consulting in the framework of all areas of their commercial activities.
Efi specializes in all levels of civil taxation, including tax consulting and planning, preparing legal opinions, and providing legal support and representation of tax payers through assessment processes before the tax authorities and litigation processes in all court instances.
Within this framework, Efi successfully and personally handles tax issues for his clients, providing them with tax-related representation before the various tax authorities, including pre-ruling, tax appeals, and voluntary disclosure. He advises on income tax, VAT, land tax, international taxation of corporations and individual, and more.
He also provides ongoing legal consultancy in commercial and corporate law, and provides clients with guidance on executing both simple through complex commercial transactions, while placing particular emphasis on the transaction’s taxation aspects. He counsels, inter alia, on founders’ agreements during the establishment of companies and partnerships, acquisition and operation agreements, service provision contracts, merger agreements, sale of shares, sale of reputation and intellectual property, etc., guiding clients from the stage of negotiation through tax planning, legal due diligence, drafting contracts, and signing and finalizing the transaction.
Efi has particular expertise in the field of disputes and power struggles in companies, accompanies and represents shareholders before all judicial instances, including through mediation and arbitration proceedings which aim to protect the shareholders’ rights, as well as in claims on issues of discrimination, minority oppression, separation proceedings, etc.
Efi has served as a teaching assistant for the “Economics for Lawyers” course at the Faculty of Law, Haifa University. He lectures on issues relating to corporate law and taxation laws at the Israel Bar Association, Israel Accountants Association, and various forums.
